1. Acceptance of Terms

Welcome to Local Coffee Shops (“we,” “us,” or “our”). By accessing or using our website at findlocalcoffeeshops.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors and others who access or use the Site, including anyone who suggests a listing.

2. Description of Service

Local Coffee Shops is a directory service that connects coffee lovers with local coffee shops, roasters, and cafes. We provide:

  • A searchable directory of coffee shop listings
  • Listing pages with business information
  • A form for anyone to suggest a listing for inclusion in the directory
  • Search functionality to help users find listings by location

We do not sell products directly, process transactions between users and stores, or guarantee the quality, accuracy, or availability of any listed business.

3. Eligibility

You must be at least 18 years old to use the Site or submit a listing. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are submitting a listing on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Listings

4.1 Suggesting a Listing

Anyone may suggest a listing to be included in our directory. By suggesting a listing, you agree to:

  • Provide accurate and complete information about the listing
  • Not submit listings for businesses that do not exist

4.2 Listing Review

All listings are managed by our team and are subject to review before publication. We reserve the right to reject, remove, or modify any listing at our sole discretion, including but not limited to listings that:

  • Contain inaccurate or misleading information
  • Violate these Terms or applicable laws
  • Are not relevant to coffee shops, roasters, or cafes
  • Contain offensive or inappropriate content

5. User Content

5.1 Ownership

You retain ownership of any content you submit to the Site, including business descriptions, photos, and other materials (“User Content”). However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the Site.

5.2 Content Standards

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to use and authorize us to use the User Content
  • The User Content does not infringe any third party’s intellectual property or other rights
  • The User Content is accurate and not misleading
  • The User Content complies with all applicable laws and regulations

5.3 Photo Requirements

Photos must be images of the actual store or its products. Photos must be owned by the submitter or used with explicit permission from the copyright holder. Stock photos, photos of other businesses, or copyrighted images without proper authorization are prohibited.

6. Prohibited Activities

You agree not to:

  • Submit false, misleading, or fraudulent information
  • Impersonate any person or business or misrepresent your affiliation
  • Submit listings for businesses that do not exist or are not operational
  • Use the Site to advertise or promote illegal activities
  • Attempt to gain unauthorized access to the Site or its systems
  • Use automated means (bots, scrapers, etc.) to access or collect data from the Site without our express permission
  • Interfere with or disrupt the Site or servers
  • Violate any applicable local, state, national, or international law
  • Harass, abuse, or harm other users or listed businesses
  • Submit spam, duplicate listings, or commercial solicitations

7. Accuracy of Information

While we strive to maintain accurate information, we do not guarantee the accuracy, completeness, or reliability of any listings or content on the Site. Store hours, locations, inventory, and other details may change without notice.

Users should verify information directly with listed businesses before visiting. We are not responsible for any losses or damages resulting from reliance on information found on the Site.

8. Intellectual Property

8.1 Our Content

The Site and its original content (excluding User Content), features, and functionality are owned by Local Coffee Shops and are protected by copyright, trademark, and other intellectual property laws. Our name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site in accordance with these Terms.

Local Coffee Shops respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Site infringes your copyright, you may submit a takedown notice to our designated agent with the following information, as required by 17 U.S.C. 512(c)(3):

  • Identification of the copyrighted work you claim has been infringed
  • Identification of the material on the Site that you claim is infringing, with enough detail for us to locate it
  • Your name, address, telephone number, and email address
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

If you believe your content was removed in error, you may submit a counter-notification containing your contact information, identification of the removed material, a statement under penalty of perjury that you believe the removal was a mistake or misidentification, and your consent to the jurisdiction of your local federal court. We will forward counter-notifications to the original complainant.

We may terminate access to the Site for users who are repeat infringers of copyright.

The Site may contain links to third-party websites, including links to stores’ websites and social media pages. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. You access third-party links at your own risk.

We may use third-party services for functionality such as maps, search, email delivery, and analytics. Your use of these services is subject to their respective terms and privacy policies.

10. Privacy

Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection and use of information as described in our Privacy Policy.

Email addresses provided through the suggest form are kept private and used only for communication related to the listing.

11. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Site will be uninterrupted, secure, or error-free
  • Any defects will be corrected
  • The Site or servers are free of viruses or harmful components
  • The results obtained from using the Site will be accurate or reliable
  • Listed businesses are legitimate, in operation, or will meet your expectations

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOCAL COFFEE SHOPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage from visiting listed stores
  • Any conduct or content of any third party on the Site
  • Any errors, mistakes, or inaccuracies in listings
  • Unauthorized access to or use of our servers or information

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Local Coffee Shops and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Site
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any claim that your listing caused damage to a third party

14. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Site with a new “Last updated” date. Your continued use of the Site after any changes indicates your acceptance of the modified Terms.

We encourage you to review these Terms periodically.

15. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms.

We may remove any listing at any time for any reason, including inactivity, inaccuracy, or violation of these Terms.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative action.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Local Coffee Shops regarding your use of the Site and supersede all prior agreements and understandings.
